15. Force Majeure
SCDC shall not be held liable for any failure or delay in performing its obligations where such failure or delay is caused by events beyond its reasonable control (“Force Majeure Events”). These events may affect the ability to perform Services as planned and may require adjustments to project timelines or obligations.
Force Majeure Events include, but are not limited to:

16. Termination

Upon termination:
- Payment for completed work: The Client shall pay for all services performed, deliverables completed, and costs incurred up to the effective date of termination
- Settlement of outstanding obligations: Any unpaid invoices or financial commitments shall become due in accordance with the Agreement
- Return or handling of documents and data: Each party shall return or appropriately handle confidential information, documents, and materials belonging to the other party, unless agreed or required by law
