SCDC shall promptly notify the Client of any such claim and may require the Client to take appropriate steps in handling or resolving the matter.

15. Force Majeure

SCDC shall not be held liable for any failure or delay in performing its obligations where such failure or delay is caused by events beyond its reasonable control (“Force Majeure Events”). These events may affect the ability to perform Services as planned and may require adjustments to project timelines or obligations.

Force Majeure Events include, but are not limited to:

16. Termination

Either SCDC or the Client may terminate a Project or engagement in accordance with the terms defined in the relevant Agreement. Termination may occur under agreed conditions, including but not limited to breach of obligations, mutual agreement, or other circumstances specified in writing.

Upon termination:

  • Payment for completed work: The Client shall pay for all services performed, deliverables completed, and costs incurred up to the effective date of termination
  • Settlement of outstanding obligations: Any unpaid invoices or financial commitments shall become due in accordance with the Agreement
